TERMS OF SERVICE - SERVICE PROVIDERS

⚠️ IMPORTANT NOTICE: These terms contain a mandatory arbitration agreement in Section 17 that affects your legal rights. Please read them carefully.

INDEPENDENT CONTRACTOR RELATIONSHIP: These Terms do NOT create an employment relationship. You are an independent contractor, not an employee of IngClean.

1. ACCEPTANCE OF TERMS

1.1 Terms of Service

These Terms of Service form a binding contract between you as a service provider and IngClean, Inc. (the "Company", "we" or "us") and govern your access and use of:

The related mobile application
All services and functionalities offered (collectively, the "Service")

1.2 Service Provider

"Service Provider", "you" or "your" means you as a user who registers to offer and provide services through the Service.

1.3 Changes to These Terms

We reserve the right to modify these Terms. We will notify you of material changes 30 days in advance.

2. YOUR PRIVACY

For information on data handling, see our Privacy Policy. By using the Service, you consent to our data collection and use.

3. DESCRIPTION OF SERVICE

The Service provides a technology platform that allows you, as a cleaning service provider, to offer your services to users who request such services through the platform ("Users"). You are solely responsible for the provision of Requested Services.

4. RELATIONSHIP OF THE PARTIES

IMPORTANT - YOU ARE AN INDEPENDENT CONTRACTOR:

These Terms do NOT constitute an employment agreement
NO employment relationship exists between the Company and you
NO joint venture, partnership, or agency relationship exists
You do NOT have authority to act on behalf of the Company
The Company will NOT provide equipment or training
The Company has NO control over how you provide services

Tax Responsibilities: We are not responsible for workers' compensation, tax withholding, unemployment insurance, social security, or other contributions. You assume full responsibility for all applicable taxes.

5. ELIGIBILITY; ACCOUNTS

5.1 Eligibility

To be eligible as a Service Provider, you must:

Be at least 18 years of age
Have a valid driver's license
Obtain and maintain necessary permits or licenses
Complete a background check satisfactorily

5.2 Insurance

You are solely responsible for obtaining and maintaining adequate insurance coverage.

5.3 Account

You must register and create an account with true, accurate information. You are responsible for password confidentiality.

5.4 Onboarding

You must upload driver's license, proof of insurance, and complete onboarding including online training before accepting bookings.

6. ACCESS AND USE OF THE SERVICE

6.1 Restrictions

You shall not sublicense, resell, modify, hack, or use the Service illegally or disruptively.

6.2 Software

We grant you a non-transferable license to use the Software solely to access and provide services.

6.3 Non-Circumvention

PROHIBITED: You must not contact, solicit, or accept payments from Users outside the Service during these Terms and for 12 months thereafter.

7. BOOKINGS

7.1 Bookings

You may transact with Users when you both agree to a "booking". Once completed, you agree to honor the price and terms.

7.2 Accepting Bookings

You may, at your sole discretion, accept, decline, or cancel any Booking. You independently determine if, when, and how much you will work.

7.3 Transportation

You are solely responsible for transportation costs. The Company does not provide or reimburse transportation.

7.4 Relationship with Users

Your acceptance creates a direct business relationship with the User. The Company is not responsible for User actions.

8. FEES AND PAYMENTS

8.1 Fees

Upon service completion, confirm through the Service. The Company processes payment from User and releases to you, less service fees.

8.2 Service Fees

We charge service fees for maintaining the Platform. Specific fees detailed in your dashboard.

8.3 Additional Fees

You may request additional expenses if scope differs, subject to User acceptance. Tips remitted 100% to you.

8.4 Fee Disputes

We may withhold payment if User reports service issues. You may be liable for chargebacks.

8.5 Payment Holds

We may hold payments if there's suspicion of fraudulent activity.

8.6 Payment Processor

We use Stripe, Inc. You must set up a Stripe account to receive payments.

9. CANCELLATIONS; REFUNDS

9.1 Cancellations by Service Provider

If you cancel, the User will be refunded. Frequent cancellations may lead to suspension.

9.2 Cancellations by User

Refund amount determined based on cancellation policy.

9.3 Refunds for Failure to Perform

If you fail to provide services as agreed, we may issue refunds and withhold your payment.

10. YOUR CONTENT

You are responsible for all content you provide. You grant us a worldwide license to use it.

11. MOBILE SERVICES

The Service includes mobile features. You provide necessary device and service plan.

SMS Text Messages. By creating an Account and providing your mobile phone number, you consent to receive SMS text messages from the Company related to your Account and the Service, including job notifications, service updates, and activity reminders if your Account becomes inactive. Message frequency varies based on your activity; you may receive up to four (4) messages per month. Message and data rates may apply. You may opt out at any time by replying STOP to any message. For assistance, reply HELP or contact admin@ingclean.com. The Company does not share, sell, or rent your mobile phone number to third parties for marketing or promotional purposes.

12. INTELLECTUAL PROPERTY RIGHTS AND CONFIDENTIALITY

12.1 Company Rights

The Service is protected by intellectual property laws.

12.2 Confidentiality

CONFIDENTIAL INFORMATION: You may receive non-public User information. Use only for providing services. Do not share with third parties.

13. THIRD-PARTY SERVICES

The Service may link to third-party services. We are not responsible for them.

14. INDEMNIFICATION

You agree to defend and indemnify the Company from any claims arising from your service provision.

15. REPRESENTATIONS AND WARRANTIES

YOU REPRESENT THAT YOU WILL MAINTAIN ELIGIBILITY REQUIREMENTS AND PROVIDE TRUE INFORMATION.

THE SERVICE IS PROVIDED "AS IS". WE DISCLAIM ALL WARRANTIES.

16. LIMITATION OF LIABILITY

THE COMPANY WILL NOT BE LIABLE FOR INDIRECT DAMAGES OR DIRECT DAMAGES EXCEEDING FEES PAID IN 6 MONTHS OR $100 USD.

17. MANDATORY ARBITRATION

IMPORTANT: Disputes resolved through individual binding arbitration, not court. You waive jury trial and class actions. 30 days to opt-out.

18. TERMINATION

We may suspend or terminate your account for violations. Fraud will be reported. If terminated, you may not re-register.

19. GENERAL

These Terms are the complete agreement. Governed by Florida laws. Claims must be filed within one year.

20. U.S. GOVERNMENT RESTRICTED RIGHTS

The Service is provided to U.S. government with "RESTRICTED RIGHTS".
